These Terms & Conditions govern the commercial relationship between XX Disruptive Minds, S.A.P.I. de C.V. (hereinafter "XXDM" or "the Provider") and the individual or entity that engages its products or services (hereinafter "the Client").
XXDM offers digital-product design, development and consulting services across three commercial tiers:
For Tier 1 (Direct purchase): acceptance of these T&C occurs when you check the corresponding box on the checkout form and complete payment via Stripe. This action is legally binding as an electronic agreement.
For Tiers 2 and 3: acceptance occurs through the electronic or physical signature of the specific commercial proposal or statement of work, which references these T&C as a binding exhibit.
The Client represents that it has the legal capacity to enter into commercial contracts (legal age, not legally incapacitated, and holding authority to represent the entity if acting on behalf of one).
Each product has a predefined scope, specific deliverables and a published delivery timeline. Current details are available at xxdisruptiveminds.com/en/products.
Brand System, Website, Custom Platform and Internal Tools. Each specific proposal details the scope, deliverables, schedule, costs by phase and the particular terms that apply.
For projects of $24,000 USD and up, XXDM prepares a tailored Master Services Agreement that governs specific obligations, supplementing these general T&C.
Unless expressly agreed in writing: indefinite hosting, perpetual maintenance, unlimited support, editorial content creation, social-media management, copy translation, professional photography, or rights to third-party licensed fonts or assets. These services can be contracted separately as add-ons.
All prices are stated in US Dollars (USD) and are valid for 15 calendar days from the date of the quote or its publication on the site. Prices are exclusive of any applicable taxes unless otherwise stated.
On Tier 2 and 3 projects, milestone payments are due 5 business days after the corresponding milestone invoice is issued. Once that period has lapsed, XXDM may suspend work in progress until payment is brought current, and such suspension does not constitute a breach on its part.
Payments more than 30 calendar days overdue will accrue late-payment interest of 1.5% per month on the outstanding balance, to the extent permitted by applicable law.
XXDM issues USD invoices for every engagement, payable by card, ACH or wire via Stripe. As the Provider is a Mexican entity (XX Disruptive Minds SAPI de CV) billing US clients, a W-8BEN-E is available on request to document foreign-vendor status.
The Client is responsible for providing correct, complete and current billing information at the time of payment (legal/business name, billing address, and any tax-exemption or entity details required). XXDM is not responsible for invoice errors arising from incorrect information provided by the Client.
Requests to re-issue an invoice due to a Client error (after the original issue date) carry an administrative fee of $30 USD per document to cover processing.
The Client has 72 hours after receiving an invoice to request corrections at no charge.
Once full payment for the engaged service or product has been completed, ownership of the deliverables transfers in full to the Client, including:
Some deliverables may include fonts, images, libraries or plugins under third-party licenses (Adobe Fonts, Stripe, Mapbox, Cloudinary, etc.). The Client is responsible for keeping those licenses current for ongoing commercial use. XXDM will tell the Client which they are and what they cost before incorporating them.
XXDM reserves the right to feature the delivered work in its public portfolio, case studies and marketing materials, showing: the project name, a general technical description, quantitative results (without the Client's sensitive data), images and screenshots.
If the Client prefers to keep the project confidential, it must say so expressly before work begins and a specific NDA will be signed. In that case, XXDM may refer to "Case A", "Client in the X sector", or similar without identifying the Client.
XXDM may reuse techniques, code patterns, internal templates and its own components developed before or during the delivery of services, in other projects. This does not affect the Client's ownership of the specific deliverable, but it lets XXDM maintain its know-how and operational efficiency.
The scope of each product or service is defined before work begins:
Change requests that exceed the original scope (new features, complete redesigns, unforeseen integrations) are quoted separately via a Change Request. XXDM will provide a cost and timeline estimate before proceeding. The Client decides whether to authorize it.
Reasonable revisions are included. What we don't include: changes of project direction halfway through (e.g., "we no longer want green, change everything to red" after approval).
Cancellation and refund policies are detailed in our Refund Policy and Cookie Policy, which form an integral part of these Terms & Conditions.
XXDM may suspend or terminate the delivery of services without a refund if the Client:
In cases of suspension for the Client's breach, XXDM is not obligated to deliver work in progress or to refund amounts already paid.
To the maximum extent permitted by applicable law, XXDM's total liability to the Client for any claim related to the engaged services or products is limited to the total amount actually paid by the Client in the 12 months preceding the event that gave rise to the claim.
XXDM warrants that the delivered work is original, does not infringe third-party rights, and meets the specifications documented in the proposal or at checkout. Any defect detected within 30 days of final delivery will be corrected at no charge, provided the Client has not modified the deliverable.
Both parties agree to keep confidential all commercial, technical, financial or strategic information exchanged during the delivery of the service, for a minimum period of 5 years after the commercial relationship ends.
For Tier 2 and 3 projects involving sensitive information, the parties may sign a specific Non-Disclosure Agreement (NDA) that replaces or supplements this clause. XXDM can sign the Client's standard NDA or provide its own.
Information is not considered confidential where it: (i) is in the public domain, (ii) was previously known to the receiving party, (iii) is independently developed, or (iv) must be disclosed by legal requirement of a competent authority.
Neither party will be liable for failing to perform its obligations where that failure results from events of force majeure or acts of God, including: natural disasters, pandemics, armed conflict, acts of terrorism, general strikes, prolonged outages of essential services (electricity, internet), or government actions that prevent normal operation.
The affected party will notify the other within 5 business days of the force-majeure event. Timelines are suspended for the duration of the event and resume once it ends.
These Terms & Conditions are governed by the laws applicable at the Provider's seat in Mexico City, Mexico, where XX Disruptive Minds SAPI de CV is established, notwithstanding that fees are billed in US Dollars.
For the interpretation and performance of these terms, the parties expressly submit to the competent courts of Mexico City, waiving any other jurisdiction that might apply by reason of their present or future domicile.
